Board of Directors
Severstal Board of Directors is responsible for the general
management and performance of the Company’s operations, including approval of its strategy and monitoring its financial and business operations. The Board’s
principal objective is to run the company in such a manner as to increase
shareholder value in the medium and long term.
The Board bases its decisions on the need to act in the best
interests of the entire company and to be fair to all shareholders. It may not
give preference to the interests of any individual shareholder or group of shareholders. The Board is also responsible for the proper functioning of the
system for disclosure and dissemination of information about the Company’s
operations and for implementing the Company’s information policy.
The Board is authorized to take decisions concerning every
aspect of Severstal’s activity, with the exception of matters referring to the
jurisdiction of the General Shareholders Meeting.
The activity of the Board of Directors is regulated by the
applicable law of the Russian Federation, Company’s Charter (2011) and Regulations for the Board of Directors of OAO Severstal (2008).
Chairman of the Board of Directors, Member of the Nomination and Remuneration Committee
Year of birth: 1942. Chris Clark is a leading industrialist and brings extensive business knowledge to the Board. Chris’s career spans 40 years at Johnson Matthey plc, the specialty chemicals and precious metals Group, where he became Chief Executive Officer in 1998. He led the Group into the FTSE 100 in 2002. Since his retirement in 2004, Chris has taken a number of non-executive positions. He chaired RusPetro, an independent oil and gas producer conducting oil exploration and production activities in the Krasnoleninsk field in Western Siberia, one of the largest oil producing regions in the Russian Federation, until July, 31, 2013.
Chris is a graduate in metallurgy. He studied at Trinity College, Cambridge and Brunel University, London.
CEO of Severstal, Member of Health, Safety and Environmental Committee
Year of birth: 1965. Alexey Mordashov has worked for Severstal since 1988. He started his career as a senior shop economist, becoming Chief Financial Officer in 1992. In December 1996, he was appointed as Severstal’s Chief Executive Officer. In June 2002, Mr. Mordashov was elected Chairman of Severstal’s Board of Directors. Since 2002 he served as Chief Executive Officer of Severstal Group, since December 2006, he works as the Chief Executive Officer of Severstal. Alexey serves on the Entrepreneurs Council of the Government of Russian Federation. In addition, Mr. Mordashov is a member of the Russian-German workgroup responsible for strategic economic and finance issues, and he is the head of the Russian Union of Industrialists and Entrepreneurs’ (RSPP) Committee of Trade Policy and WTO. Since March 2006 he is a member of the EU-Russia Business Cooperation Council. Alexey is a member of the Atlantic Council President’s International Advisory Board. Alexey Mordashov is a member of the Supervisory Board of Non-Profit Partnership Russian Steel (since June 2010), President of Russian Steel (since June 2013) and Vice-Chairman of World Steel Association (since October 2013), which is headquartered in Brussels, Belgium.
Mr. Mordashov earned his undergraduate degree from the Leningrad Institute of Engineering and Economics. He also holds an MBA degree from Newcastle Business School of Northumbria University (Newcastle UK). Alexey was granted an honorary doctorate from the Saint-Petersburg State University of Engineering and Economics in 2001 and from the University of Northumbria in 2003.
Senior Independent Director, Chairman of the Nomination and Remuneration Committee, Chairman of Health, Safety and Environmental Committee
Year of birth: 1940. Rolf Stomberg is Chairman of the Supervisory Board of LANXESS AG, Leverkusen, a global chemical company. He is a Director of medical device producer Smith and Nephew plc, London, and advises a number of German family owned companies. After his executive career of nearly 30 years with BP (British Petroleum Co plc), where he last held the position of CEO of BP’s downstream business and Managing Director on the main board of the company, he held a number of directorships in internationally operating companies in Europe such as Reed Elsevier Group, TNT NV, Scania AB, John Mowlem plc and Management Consulting Group plc, as well as on the boards of PE owned companies.
Rolf is an economics graduate holding a Doctorate of Hamburg University, where he also served as a Lecturer. He was Honorary professor at the business school of Imperial College, London, and the Institut Francais de Petrol, Paris.
Independent Director, Chairman of the Audit Committee
Year of birth: 1950. Martin Angle holds a number of non-executive directorships in addition to OAO Severstal, including in the UK
Pennon Group plc, Savills plc and the Chairmanship of the National Exhibition
Centre Group Ltd. He also sits on the Board of Shuaa Capital psc in Dubai.
During his career, Martin has held senior executive positions
in investment banking, industry and more recently private equity, where he was
an Operational Managing Director of Terra Firma Capital Partners and held
various senior positions in its portfolio companies including the Waste
Recycling Group Ltd, where he was Executive Chairman, and Le Meridien Hotel
Group, where he was Deputy Chairman. Prior to that, Martin was for a number of years the Group Finance Director of TI Group plc, a specialised engineering
company in the UK FTSE 100 with activities in over 50 countries. Before that,
he spent 20 years in investment banking, where he held a number of senior
positions with SG Warburg & Co Ltd, Morgan Stanley and Dresdner Kleinwort
Martin is a graduate in physics, a Chartered Accountant, a Member of the Chartered Securities Institute and a Fellow of the Royal Society

Born in 1951. Philip has extensive experience of advising international
companies, including in the CIS. Philip sits on a number of boards of listed
companies in the energy, software and financial services sectors. Philip
qualified as a chartered accountant and pursued a corporate finance career in investment banking providing capital markets advice, including on M&A
transactions and flotations. Over the past five years he has also held
non-executive directorships at Hurricane Exploration plc, Cadogan Petroleum
plc, Dana Petroleum plc and Arden Partners plc.
Philip graduated from St. Columba’s College (St. Albans), St. Benedict’s
(Earling) and King’s College (London).
Independent Director, Member of the Audit Committee
Born in 1955. Alun spent almost 37 years working for KPMG in London, Sydney,
Cardiff, Hog Kong and Kazakhstan. He has extensive relevant experience both at
Board level and in advisory roles. Having joined Peat, Marwick & Mitchell
& Co (subsequently KPMG) in 1976, he was appointed a partner in 1988
subsequently managing a number of practice areas including being managing
partner of KPMG Kazakhstan from 2008 to 2013. He was a member of the audit
committees of The Institute of Chartered Accountants in England and Wales (2004
to 2007), Business in the Community (2003 to 2005) and The Prince’s Trust (2001
Alun is Master of Arts from Trinity College, Cambridge, where he studied
Metallurgy and Materials Science; Fellow of the Institute of Chartered
Accountants in England & Wales, Fellow of the Royal Society of Arts.
First Deputy CEO and Chief Operating Officer, Member of Health, Safety and Environmental Committee
Year of birth: 1970. Vadim joined Severstal in 2003 and has managed the Company’s coal operations at Intaugol as General Director. Since 2005 he
managed Kuzbassugol. Since 2007 he has served as CEO of Vorkutaugol. He has
been appointed as CEO of the Severstal Resources division, effective 1 September 2010. Vadim Larin was appointed First Deputy CEO of OAO Severstal and Chief Operating Officer on 15 July 2013. Prior to joining the Company, Mr.
Larin worked at McKinsey & Company.
Vadim graduated from the Moscow State Institute of Radio Engineering,
Electronics and Automation with robotechnics specialization. Mr. Larin also holds an MBA from INSEAD (France).
Senior Vice President, Legal Affairs and General Counsel, Member of Health, Safety and Environmental Committee
Year of birth: 1978. Vladimir Lukin joined Severstal Group in 2004 as Senior Legal Advisor. In 2007 he became Senior Legal Advisor at OAO Severstal. In 2008 Vladimir was appointed as head of the international project department. In 2009 he was appointed as Senior Vice President, legal affairs and General Counsel. Prior to joining the company Vladimir was with Freshfields Bruckhaus Deringer.
He graduated in Law from the Moscow State University.
Year of birth: 1963. Mikhail Noskov worked at the International Moscow Bank between 1989 and 1993. From 1994, he was Trade Finance Director of Credit Suisse (Moscow). He has worked for Severstal since February 1997 as Head of Corporate Finance and from 1998 as Finance and Economics Director. In June 2002, he was made Deputy CEO for Finance and Economics of the Severstal Group, from 2007 till 2008 he was Deputy CEO for Finance and Economics of Severstal. Mikhail graduated from the Moscow Institute of Finance.
Chief Financial Officer
Year of birth: 1974. Alexey Kulichenko graduated from the Omsk Institute of World Economy with a degree in economics. In 1996−2003 he worked in “Sun Interbrew”, starting his career as cash flow economist of Omsk plant “Pocap” and ending as Efficiency Planning and Managing Director of “Sun Interbrew”. From 2003 till 2005 Alexey worked as CFO at “Unimilk” – the second largest milk producer in Russia, which joins 20 plants in Russia and Ukraine. From December 19, 2005 to July 2009 he served as CFO of CJSC “Severstal Resource”. Since May 2006 Alexey is the member of the Board of directors of JSC “Vorkutaugol”. In July 2009 Alexey Kulichenko was appointed CFO of OAO Severstal.
