Amendment to the tender offer for the notes due to 2016 and 2017

PАО Severstal (previously known as OAO Severstal) (“Severstal” or the “Company”) (MICEX: CHMF; LSE: SVST), one of the world’s leading vertically integrated steel and steel-related mining companies, announces a modification (as described below) to the terms of the buy-back offers (the “Offers”) which Steel Capital S.A., a special purpose vehicle established for the sole purpose of issuing notes for financing loans to Severstal (the “Offeror”), launched on 14 January 2015 in relation to its outstanding (1) USD500,000,000 6.25% Loan Participation Notes due 2016 (ISIN: XS0648402583) (the 2016 Notes) and (2) USD1,000,000,000 6.70% Loan Participation Notes due 2017 (ISIN: XS0551315384) (the 2017 Notes, and together with the 2016 Notes – the Notes).

The original terms and conditions of the Offers were set out in the Tender Offer Memorandum released by the Offeror on 14 January 2015 and were subsequently amended by the Offeror on 20 January 2015. Today the Offeror has further modified the terms and conditions of the Offers by increasing (i) the 2016 Notes Purchase Price and (ii) the 2017 Notes Purchase Price (as defined in the Tender Offer Memorandum) as follows:

(1) the 2016 Notes Purchase Price has been increased to U.S.$1,000 per U.S.$1,000 in principal amount of 2016 Notes; and

(2) the 2017 Notes Purchase Price has been increased to U.S.$975 per U.S.$1,000 in principal amount of 2017 Notes.

Those  Noteholders who have validly tendered their Notes for purchase pursuant to the Offers prior to the date of this announcement, will be eligible to receive from the Offeror the applicable increased Purchase Price (as defined in the Tender Offer Memorandum) without having to take any further action.

The Expiration Deadline (as defined in the Tender Offer Memorandum) remains 16.00 hours (London time) on 4 February 2015 as was announced by the Offeror on 20 January 2015.
